HapiCare Terms of Service

Please read these Terms of Service (the "Terms") carefully. These Terms govern access to and use of the HapiCare software platform, applications, and related services (collectively, the "Software and Services") and form a legally binding agreement between HapiCare, Inc., 16025 Manor Club Drive, Alpharetta, GA 30004, USA ("HapiCare," "Company," "we," "us," or "our") and the individual or entity accessing or using the Software and Services ("Customer").
HapiCare is an AI-native Medical Staff Operations platform that consolidates credentialing, privileging, policy governance, workforce scheduling, clinical education, and continuing medical education (CME) into a single interoperable system for healthcare organizations.
By accessing or using the Software and Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by the HapiCare Privacy Policy.
1. Relationship and Authority
Access to the Software and Services is typically provided through a contractual relationship between HapiCare and a healthcare organization, hospital, or healthcare network (the "Subscriber"). You represent and warrant that you have authority to act on behalf of the Subscriber or Customer, as applicable.
If you do not agree to these Terms, you must not access or use the Software and Services.
2. Software and Services
During the applicable subscription term, HapiCare will make the Software and Services available in accordance with these Terms and any applicable order form or agreement with the Subscriber.
HapiCare retains all ownership and intellectual property rights in and to the Software and Services, including all related documentation, algorithms, AI models, and proprietary technology.
HapiCare may add, modify, or remove features of the Software and Services from time to time. Material changes will be communicated where reasonably practicable.
3. Grant of License
Subject to these Terms, HapiCare grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Software and Services solely for the Customer’s internal business purposes and in accordance with the intended functionality of the Software and Services.
4. License Restrictions
The Customer may not:
Resell, sublicense, assign, transfer, or provide access to the Software and Services to any third party except as expressly permitted
Copy, modify, create derivative works from, reverse engineer, decompile, or disassemble the Software and Services
Use the Software and Services to develop or benchmark a competing product
Interfere with the security, integrity, or performance of the Software and Services
Remove or alter any proprietary notices
5. Customer Responsibilities
The Customer is responsible for:
All activity conducted under its user accounts
Maintaining the confidentiality of access credentials
Ensuring data accuracy, completeness, and legality
Compliance with all applicable healthcare, privacy, employment, and data protection laws
HapiCare does not independently verify Customer data or guarantee regulatory compliance outcomes.
6. Data and Data Rights
Customer Data means all data, information, and content submitted to or processed through the Software and Services.
The Customer retains ownership of Customer Data. The Customer grants HapiCare a limited license to process Customer Data solely to provide, maintain, secure, and improve the Software and Services, including analytics, diagnostics, backups, and support.
HapiCare may use aggregated and de-identified data for analytics, benchmarking, and service improvement.
7. Data Backup and Integrity
HapiCare performs regular backups but does not guarantee that Customer Data will be free from loss or corruption. The Customer remains responsible for maintaining its own backup and recovery procedures.
8. Support and Service Levels
HapiCare provides support in accordance with its published support hours and service levels, if any. The Software and Services facilitate administrative workflows and do not validate or audit data, invoices, or regulatory compliance.
9. AI-Enabled Features
The Software and Services include AI-enabled automation and analytics designed to support administrative efficiency. AI outputs are informational and advisory only and do not constitute medical, clinical, or legal advice.
Customer Data is not used to train generalized or third-party AI models unless expressly agreed in writing.
10. SMS/MMS Mobile Message Marketing Program Terms and Conditions
10.1 Program Description
HapiCare allows users to opt-in to receive SMS or MMS messages related to document verification status, two-factor authentication (OTP), security notifications, and application alerts.
10.2 Message Frequency
Message frequency varies based on user activity, verification status, and system events.
10.3 Cost
Message and data rates may apply. Please check with your mobile carrier for details.
10.4 Opt-Out
You may cancel SMS messages at any time by replying "STOP" to the applicable short code or message thread. After you send "STOP", you will receive a confirmation message and will no longer receive SMS messages unless you re-enroll.
10.5 Help
For assistance, reply "HELP" to any message or contact HapiCare at support@hapicare.com.
10.6 Carrier Liability
Mobile carriers are not liable for delayed or undelivered messages.
11. Confidentiality
Each party agrees to protect the other party’s Confidential Information using reasonable care and to use such information solely for purposes permitted under these Terms.
12. Disclaimers
THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." HAPICARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPICARE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. HAPICARE’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. Indemnification
The Customer agrees to indemnify and hold harmless HapiCare from claims arising from misuse of the Software and Services or violation of these Terms.
15. Termination
Access terminates upon breach, termination of the Subscriber agreement, or cessation of the Customer’s relationship with the Subscriber. Upon termination, all rights to use the Software and Services cease.
16. Governing Law
These Terms are governed by the laws of the United States and the State of Georgia, without regard to conflict of law principles.
17. Changes to Terms
HapiCare may update these Terms from time to time. Continued use of the Software and Services after changes become effective constitutes acceptance of the revised Terms.
